Agreement to Terms

By accessing and using Rapid Compliance LLC's Section 3 compliance platform and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this platform.

These terms constitute a legally binding agreement between you (as an individual or organization) and Rapid Compliance LLC regarding your use of our compliance management services, software platform, and related resources.

Service Description

Compliance Platform: We provide a comprehensive Section 3 compliance management platform that includes tracking, reporting, audit preparation, and regulatory compliance tools for public housing agencies and contractors.

HUD Reporting: Our services include automated HUD reporting capabilities, compliance scoring, and documentation management to ensure adherence to Section 3 requirements.

Professional Services: We offer consulting, training, audit preparation, and custom compliance solutions tailored to your organization's specific needs.

Support Services: Technical support, compliance guidance, and customer success services are included with your subscription plan.

User Responsibilities

Accurate Information: You must provide accurate, complete, and current information when using our services and maintain the accuracy of your compliance data.

Authorized Use: You may only use our services for legitimate compliance purposes and in accordance with applicable laws and regulations.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Compliance Obligations: While we provide tools and guidance, ultimate responsibility for Section 3 compliance remains with your organization.

Subscription and Billing

Subscription Plans: Services are provided on a subscription basis with various plan options (Core, Plus, Enterprise) as detailed on our pricing page.

Payment Terms: Subscription fees are billed monthly or annually in advance. All fees are non-refundable except as required by law.

Auto-Renewal: Subscriptions automatically renew for the same term unless cancelled at least 30 days before the renewal date.

Price Changes: We reserve the right to modify subscription prices with 60 days advance notice to existing customers.

Intellectual Property

Platform Ownership: The Rapid Compliance platform, including all software, algorithms, reports, and compliance frameworks, is our proprietary intellectual property.

User Data: You retain ownership of your compliance data and information. We have a limited license to use this data solely to provide our services.

Usage License: We grant you a non-exclusive, non-transferable license to use our platform during your subscription term for compliance management purposes.

Restrictions: You may not copy, modify, distribute, reverse engineer, or create derivative works based on our platform or services.

Data and Privacy

Data Processing: We process your compliance data in accordance with our Privacy Policy and applicable data protection laws.

Security Measures: We implement industry-standard security measures to protect your data, including encryption, access controls, and regular security audits.

Data Retention: We retain compliance data as required by HUD regulations and applicable laws, typically for 7-10 years after contract completion.

Regulatory Sharing: We may share necessary compliance data with HUD and other regulatory bodies as required for Section 3 reporting obligations.

Service Availability

Uptime Commitment: We strive to maintain 99.9% platform uptime, excluding scheduled maintenance windows.

Maintenance: We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without prior notice.

Service Interruptions: We are not liable for service interruptions due to circumstances beyond our reasonable control.

Updates: We regularly update our platform to improve functionality and ensure regulatory compliance. Major changes will be communicated in advance.

Limitation of Liability

Service Limitations: Our services are provided "as is" and we make no warranties regarding the accuracy, completeness, or reliability of compliance information.

Professional Advice: Our platform and services do not constitute legal, accounting, or professional advice. You should consult qualified professionals for specific compliance guidance.

Liability Cap: Our total liability for any claims shall not exceed the amount paid for services in the 12 months preceding the claim.

Excluded Damages: We are not liable for indirect, incidental, consequential, or punitive damages arising from your use of our services.

Termination

Termination Rights: Either party may terminate the agreement with 30 days written notice. We may terminate immediately for breach of terms.

Data Export: Upon termination, you have 60 days to export your compliance data. After this period, data may be deleted according to our retention policy.

Survival: Provisions regarding intellectual property, liability limitation, and dispute resolution survive termination.

Refunds: No refunds will be provided for partial subscription periods except as required by law.

Terms Updates

We may update these Terms of Service to reflect changes in our services, legal requirements, or business practices.
